Welcome to Biashara spot. These Terms and Conditions (“Terms”) govern your access to and use of our website, services, and platforms. By using our website, you agree to be bound by these Terms.

1. About Us

Biasharaspot Shelves is a retail space rental and operations outsourcing business located at:

Star Mall, Shop C8, Tom Mboya Street, Nairobi, Kenya

We provide:

• Shelf rental services

• Sales assistance

• Product display and management

• Marketing and promotion services

2. Acceptance of Terms

By accessing or using this website, you confirm that you:

• Have read and understood these Terms

• Agree to comply with them

• Are legally capable of entering into a binding agreement

3. Services Provided

Through this website, we provide:

• Information about our services

• Client registration and onboarding

• Marketing and promotional support

• Customer communication channels

Use of our services may require signing a separate Shelf Rental Agreement, which will override or supplement these Terms where applicable.

4. Client Registration

To access certain services, you may be required to provide:

• Full name

• Phone number and email

• National ID/Passport

• KRA PIN and/or business registration details

You agree to:

• Provide accurate and complete information

• Keep your details updated

• Take responsibility for your account

5. Payments

• All payments must be made in advance through approved channels

• Failure to make payment may result in:

  • Suspension of services

  • Termination of agreement

  • Recovery actions as per signed agreement

All payments are non-refundable unless otherwise stated.

6. Product Marketing and Pricing

By using our services:

• Biasharaspot may promote your products on:

  • Website

  • Social media platforms

  • Advertising channels

• We may increase product prices by up to 10% to cover:

  • Marketing

  • Transaction costs

  • Administrative expenses

• You may:

  • Request no price increase (must provide discounted pricing)

  • Opt out of marketing via written notice

7. Product Responsibility

• All goods remain the property of the Client

• Clients must ensure all products are:

  • Genuine

  • Safe

  • Legal

Biasharaspot is not responsible for:

• Product defects

• Poor packaging

• Illegal or counterfeit goods

8. Shelf Capacity and Storage Policy

8.1 No Free Storage

Effective 1st March, Biasharaspot does not provide free storage.

All client goods must fit strictly within the allocated shelf space(s).

8.2 Shelf Capacity Requirement

• Clients are responsible for ensuring their stock:

  • Fits within their allocated shelf(s)

  • Is neatly arranged and manageable

• Overstocking shelves or surrounding areas is not allowed

8.3 Excess Stock Handling

Where a client brings in stock that exceeds their allocated shelf space:

• Biasharaspot reserves the right to:

  • Re-shelve the excess stock into additional shelves

  • Allocate extra space as deemed necessary

• The client will be:

  • Charged for all additional shelves used

  • Liable for payment immediately or as invoiced

8.4 Unauthorized Storage

Clients must not:

• Store goods outside their allocated shelves

• Use the shop as a storage or warehouse facility

• Place goods in walkways, behind counters, or in unauthorized areas

Any such items may be:

• Removed without notice

• Reallocated to chargeable shelf space

8.5 Enforcement Rights

Biasharaspot reserves the right to:

• Reorganize shelves for efficiency and compliance

• Refuse excess stock

• Require immediate reduction of stock levels

• Suspend services for non-compliance

8.6 Liability

Biasharaspot is not liable for:

• Loss or damage to improperly placed or excess goods

• Items brought in beyond allocated capacity

• Unapproved or unmanaged stock

9. Abandoned and Uncollected Goods

• Clients must collect goods promptly upon termination or request

• Goods not collected within:

  • 7 days – may be subject to handling actions

  • 14 days – may be disposed of, sold, or donated

Biasharaspot shall not be liable for any resulting loss.

10. Intellectual Property

All website content including:

• Text

• Images

• Branding

• Design

belongs to Biasharaspot.

Clients grant Biasharaspot rights to use product content for marketing.

11. Prohibited Use

Users must not:

• Provide false information

• Sell counterfeit or illegal goods

• Interfere with operations

• Misuse Biasharaspot branding

Violations may lead to termination and legal action.

12. Limitation of Liability

Biasharaspot shall not be liable for:

• Loss of profits or business

• Data loss or interruptions

• Website downtime

• Indirect damages

All services are used at your own risk.

13. Privacy

Your data is handled in accordance with our Privacy Policy and the Kenya Data Protection Act (2019).

14. Termination

We may suspend or terminate services if:

• Terms are breached

• Payments are not made

• Policies are violated

15. Changes to Terms

We may update these Terms at any time. Continued use constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of the Republic of Kenya.
Disputes shall be handled in courts within Nairobi County.
